Law 302 - Commercial Relationships


Course Description

 

Commercial Relationships (Law 302) examines four areas of Canadian domestic commercial law: sale of goods (Part 1), leasing of goods (Part 2), liens on goods (Part 3) and suretyship (Part 4). 

Part 1 of the course explores legal issues that arise under contracts governed by The Sale of Goods Act. Topics include: statutory scope, classification of goods, the seller’s right and/or power to transfer title in goods, express and statutorily implied terms, delivery and payment obligations, acceptance and rejection of goods, and buyer’s and seller’s remedies. 

The growing importance of leasing in consumer and commercial markets warrants exploration of legal issues that arise when this alternative form of use arrangement is employed in place of a contract of sale. Part 2 of the course examines several topics pertaining to the leasing of goods: function and characterization, rights and obligations of lessor and lessee, and remedies for breach. Special attention is given to leases of new implements governed by Saskatchewan's The Agricultural Implements Act.

Providers of requested services and materials in relation to goods are conferred a statutory lien on those goods to secure the payment obligation associated with the services arrangement. Part 3 of the course examines Saskatchewan’s The Commercial Liens Act, which operates in conjunction with The Personal Property Security Act to govern all aspects of commercial liens on most types of goods.

The law of suretyship plays a key role in commercial contracting by facilitating transactions, that might not otherwise occur, through the granting of legally binding assurances that if the principal contractor fails to perform its obligations, the guarantor (surety) will do so in its stead. Part 4 of the course examines the distinction between guarantee and indemnity, explores a guarantor’s various interrelated rights and defences, and investigates contract formation issues that arise in the agricultural context under the governance ofThe Saskatchewan Farm Security Act
